River North\u00a0Residents Association (\u201cRNRA\u201d, \u201cwe\u201d, \u201cus\u201d and\/or \u201cour) provides online services\u00a0and offerings to members of the River North Residents Association, participating\u00a0RNRA\u00a0merchant sponsors and other visitors to the River North neighborhood or the\u00a0Service in general. \u00a0At RNRA, we respect and value your\u00a0privacy. \u00a0This Privacy Policy\u00a0describes the information\u00a0that we collect from you (\u201cyou\u201d, \u201cyour\u201d, or \u201cUser\u201d) when you download the\u00a0My River North mobile application (the \u201cApp\u201d),\u00a0visit www.rnrachicago.org\u00a0(the \u201cSite\u201d), and use various online tools\u00a0and services (collectively, the \u201cService\u201d), how we use that information,\u00a0and under what circumstances we disclose it. \u00a0It will also give\u00a0you more information about how to manage the personal information that\u00a0you provide to us. \u00a0This Privacy Policy should be read\u00a0in conjunction with the Terms of Use located\u00a0on the Service (the \u201cTerms\u201d\u00a0or \u201cAgreement\u201d). \u00a0All terms not specifically defined herein\u00a0shall have the same meaning as set forth in the Terms.<\/p>\n

b)\u00a0\u00a0\u00a0 \u00a0Information You Provide<\/strong>. \u00a0For\u00a0some of the browsing on our Service, we may either require or request \u201cPersonal\u00a0Information.\u201d \u00a0Personal Information is information that\u00a0could\u00a0personally identify you, for example, your name, address, phone number,\u00a0e-mail address, and requested payment information. \u00a0When\u00a0you download the app as a\u00a0User, you will be prompted to indicate your\u00a0preferences as to location-sharing and willingness to accept in-app\u00a0notifications. The first time you redeem an offer, you will be\u00a0required to\u00a0create an account within the app, which includes entering your name and email\u00a0address, as well as creating a user ID and password (\u201cUser Data\u201d).\u00a0\u00a0You may\u00a0also voluntarily customize your\u00a0account by providing additional information, such as demographic details\u00a0pertaining to you and\/or your family. \u00a0When you apply for the\u00a0Service as a Merchant, we ask you to provide certain personal or business\u00a0information, including business address, contact information, phone\u00a0number, email address, and\u00a0other related information (\u201cMerchant\u00a0Data\u201d). \u00a0For purposes of this Privacy Policy, User Data\u00a0and Merchant Data shall be considered \u201cPersonal Information.\u201d<\/p>\n

In the\u00a0following instances, we need you to actively submit Personal Information:\u00a0(1) when you want to contact us via electronic means or website\u00a0submission; (2) when you\u00a0create or customize your account; (3) when you\u00a0redeem an Offer or RSVP to an event; (4) when you join our email lists,\u00a0or social media networks; or (5) when you respond\u00a0to one of our\u00a0surveys. \u00a0E-mail or other forms of electronic communication,\u00a0including website submissions, are not secure and\/or confidential means\u00a0of communication.<\/p>\n

5)\u00a0\u00a0\u00a0 \u00a0Personal Information About Children<\/strong>. \u00a0Our\u00a0Service is targeted primarily for use by adults. \u00a0We do not currently\u00a0market to or create special areas for use by\u00a0children.\u00a0\u00a0Accordingly, we do not knowingly collect age\u00a0identifying information, nor do we knowingly collect any personal\u00a0information from children under the age of 13 years.\u00a0\u00a0However, we hereby\u00a0advise all visitors to our site and downloaders of our mobile app\u00a0under the age of 13 not to disclose or provide any personally identifiable\u00a0information on\u00a0our Service. \u00a0In the event that we discover that\u00a0a child under the age of 13 has provided personally identifiable\u00a0information to us, in accordance with the Children\u2019s Online\u00a0Privacy\u00a0Protection Act (please see the Federal Trade Commission\u2019s website\u00a0at http:\/\/www.ftc.gov\/bcp\/edu\/pubs\/consumer\/tech\/tec08.shtm for more\u00a0information about this\u00a0Act), we will delete the child\u2019s\u00a0personally identifiable information from our files to the extent\u00a0technologically possible.<\/p>\n

These service partners\u00a0may have their own data collection,\u00a0use, and sharing practices that may\u00a0also be applicable to your personal information. You should review their\u00a0applicable privacy policies and methods for changing the\u00a0privacy or\u00a0sharing settings on such services.<\/p>\n

River North\u00a0Residents Association (\u201cRNRA\u201d, \u201cwe\u201d, \u201cus\u201d and\/or \u201cour\u201d) provides online\u00a0services and offerings to members of the River North Residents\u00a0Association,\u00a0participating RNRA merchant sponsors and other visitors to\u00a0the River North neighborhood or the Service in general, through the \u201cMy River\u00a0North\u201d mobile app (the \u201cApp\u201d),\u00a0www.rnrachicago.org (the \u201cSite\u201d), our community forums, and\u00a0various online tools and services (collectively, the\u00a0\u201cService\u201d). \u00a0The Service enables residents of RNRA member\u00a0properties and other\u00a0\u00a0individuals (collectively \u201cUsers) to benefit from\u00a0offers provided by participating merchants (\u201cMerchants\u201d). The terms \u201cyou\u201d\u00a0or \u201cyour,\u201d where appropriate, may refer to Users,\u00a0Merchants, or\u00a0Properties (as defined below). If you are accessing the Service on behalf of\u00a0a company, corporation or other entity, then \u201cyou\u201d and \u201cyour\u201d refers\u00a0to that entity.<\/p>\n

By accessing\u00a0or using the Service, you agree to comply with and be bound by these terms\u00a0of use (\u201cTerms of Use\u201d or \u201cAgreement\u201d), whether or not you become a\u00a0registered\u00a0user of the Service. \u00a0Failure to use the Service in\u00a0accordance with these Terms of Use and Privacy Policy may subject you\u00a0to civil and criminal penalties.<\/p>\n

1)\u00a0\u00a0\u00a0 \u00a0Acceptance of Terms of Use<\/strong>. \u00a0Should you\u00a0NOT accept these Terms of Use, you must neither access nor otherwise\u00a0use the Service. \u00a0Our Terms of Use is subject\u00a0to\u00a0change from time to time, so we suggest that you review the current\u00a0Terms of Use at the start of each visit. RNRA reserves the right\u00a0to alter the Agreement at its sole\u00a0discretion. \u00a0We will notify\u00a0you of amended terms by posting them to our Service, by email, or any\u00a0other means we deem appropriate. \u00a0Use of the Service after posting of\u00a0amended terms will be governed by those amended terms. \u00a0These\u00a0terms will govern any disputes arising before the effective date of the\u00a0amended terms.<\/p>\n

2)\u00a0\u00a0\u00a0 \u00a0Residency and Age<\/strong>. \u00a0This\u00a0Service is intended to be accessed and used by individuals from within the\u00a0United States of America only, and RNRA disclaims any\u00a0representations\u00a0and\/or warranties it makes in this Agreement which may apply to\u00a0individuals who access the Service from\u00a0other countries. \u00a0By accessing and using the\u00a0Service, you\u00a0represent, warrant, and affirm that you are at least 18 years of age,\u00a0an emancipated minor, or have acquired a parent or guardian\u2019s consent. \u00a0You\u00a0hereby affirm\u00a0that you are, at a minimum and without exception, 13\u00a0years old. \u00a0The Service is not intended to be accessed\u00a0or utilized by children less than 13 years of age. \u00a0If your use\u00a0of\u00a0the Service is illegal or otherwise prohibited in the jurisdiction\u00a0where you are located, you are prohibited from accessing and utilizing\u00a0the Service. \u00a0If you are accessing the\u00a0Service on behalf of\u00a0a corporation or other entity, you represent and warrant that you are\u00a0authorized to do so.<\/p>\n

3)\u00a0\u00a0\u00a0 \u00a0Using the Service \u2013 Users and Properties<\/strong>.<\/p>\n

a)\u00a0\u00a0\u00a0 \u00a0Property Sign Up<\/strong>. \u00a0Residential\u00a0properties (\u201cProperty\u201d or \u201cProperties\u201d) located within or near RNRA\u2019s\u00a0service area may become RNRA members by visiting the Site\u00a0and\u00a0following the Membership sign up prompts. \u00a0Upon signup and\u00a0payment of RNRA\u2019s membership fee (the \u201cMembership Fee\u201d), each\u00a0Property will be encouraged to invite its\u00a0residents to download and use the App.<\/p>\n

b)\u00a0\u00a0\u00a0 \u00a0Downloading the App<\/strong>. \u00a0Users\u00a0may download the App from Google PlayTM\u00a0or App StoreSM\u00a0and follow the App\u2019s prompts to use the Service and redeem offers\u00a0from\u00a0participating Merchants. Once a User downloads the App, you can set\u00a0preferences; view participating Merchants with the ability to search\u00a0near your location, by Merchant\u00a0name, and by business category; browse\u00a0offers with display of Merchant name, logo or image, location,\u00a0weblink, map and offer details; view RNRA news and events; access\u00a0the RNRA\u00a0website via browser; receive push notifications from RNRA regarding\u00a0such local offers, events, and news; and share your activity within the\u00a0App and on the App\u2019s\u00a0integrated social media platforms.<\/p>\n

c)\u00a0\u00a0\u00a0 \u00a0Redeeming a Merchant\u2019s Offer<\/strong>. \u00a0Once you\u00a0download the app, you can access and redeem a\u00a0participating Merchant\u2019s offer (\u201cOffer\u201d) directly through the\u00a0App. \u00a0Offers\u00a0are searchable in multiple ways, including by\u00a0category or Merchant location. \u00a0To redeem an Offer, you must\u00a0first have created an account with the Service (which you may do\u00a0by following\u00a0the App\u2019s prompts).\u00a0\u00a0Once you have an\u00a0account, then while you are signed in, simply visit the Merchant\u2019s screen,\u00a0click on the \u201cView Deal\u201d button, click \u201cRedeem\u201d\u00a0and follow the prompts. \u00a0By\u00a0obtaining any Merchant\u2019s Offer via the Service, you agree to these\u00a0Terms of Use.<\/p>\n

d)\u00a0\u00a0\u00a0 \u00a0Restrictions on Use<\/strong>. \u00a0Users\u00a0understand and agree that once you redeem a Merchant\u2019s Offer, you may not\u00a0request the Merchant to change the terms of the Offer as\u00a0listed\u00a0through the Service. Offers may be used once per User per visit, are\u00a0non-transferable, and are subject to any other terms or restrictions\u00a0imposed by the participating\u00a0Merchant.<\/p>\n

4)\u00a0\u00a0\u00a0 \u00a0Using the Service \u2013 Merchants.<\/strong><\/p>\n

a)\u00a0\u00a0\u00a0 \u00a0Sign Up<\/strong>. \u00a0Merchants may become RNRA\u00a0Sponsors by visiting the Site and following RNRA\u2019s Sponsor sign up prompts\u00a0and paying the applicable fees. \u00a0When you\u00a0become a Sponsor\u00a0and register for the Service as a Merchant, you will upload\u00a0information about your business including name, address, contacts,\u00a0description, business\u00a0category(ies), logo and a photo of your\u00a0establishment. Merchants will have the ability to receive app usage\u00a0data and will receive a \u201cMy River North Accepted Here\u201d sign.\u00a0RNRA will\u00a0promote your business in the App, on the Site, and at RNRA\u2019s Annual\u00a0Meeting; and will provide a link to your webpage.<\/p>\n

b)\u00a0\u00a0\u00a0 \u00a0Creating and Managing Offers<\/strong>.\u00a0 In order\u00a0to create an Offer or modify an existing Offer, Merchants must send\u00a0a message with the Offer information (including any\u00a0restrictions on\u00a0redemption or use) to a recipient specified by RNRA from an authorized\u00a0email address designated by the Merchant. RNRA will update the user-facing\u00a0Offer by\u00a0close-of-business on the 2nd business day. \u00a0Though\u00a0Offers may be changed at any time, you understand and agree that only\u00a0one Offer may be submitted at any given time\u00a0and that an Offer must\u00a0be displayed at all times. \u00a0Various types of offers are\u00a0acceptable, including, but not limited to, monetary and\u00a0percentage discounts, BOGO, bundling,\u00a0upgrades, etc.<\/p>\n

c)\u00a0\u00a0\u00a0 \u00a0Fulfilling Offers<\/strong>. \u00a0Merchants\u00a0are solely responsible for fulfilling each Offer that they agree to\u00a0provide to Service users.<\/p>\n

d)\u00a0\u00a0\u00a0 \u00a0Merchant Background Checks<\/strong>. RNRA\u00a0does not conduct background checks on Merchants or their\u00a0employees. \u00a0RNRA reserves the right to reject a\u00a0Merchant for any\u00a0reason or no reason, as well as suspend or terminate your\u00a0access to and use of the Service.<\/p>\n

5)\u00a0\u00a0\u00a0 \u00a0Privacy Policy<\/strong>. \u00a0In\u00a0addition to the terms contained herein, you agree to the privacy practices\u00a0and procedures outlined in our privacy policy accessible via our App and\u00a0at RNRAChicago.org.<\/p>\n

6)\u00a0\u00a0\u00a0 \u00a0User Registration<\/strong>. \u00a0Although anyone\u00a0may download the App and thereby access news, events and local resources,\u00a0only registered Users may redeem discount offers\u00a0from participating Merchants.<\/p>\n

To be a\u00a0Registered User of the Service, you hereby agree to: 1) provide\u00a0true, accurate and complete information as prompted by any Service\u00a0registration form, which may\u00a0include your name, email address and company information.\u00a0RNRA reserves the right to refuse to provide access to and use of the\u00a0Service, or any portion thereof, on the\u00a0basis of inaccurate or incomplete registration\u00a0data.<\/p>\n

You will be\u00a0required to select a username and password when using certain features of\u00a0the App. \u00a0You are solely and fully responsible for maintaining\u00a0the confidentiality of\u00a0your own username and password, and you are solely\u00a0and fully responsible for all activities occurring under your\u00a0username and password. RNRA shall not be liable for any\u00a0loss, damage or\u00a0other liability arising from your failure to comply with this section\u00a0or from any unauthorized access to or use of your account.<\/p>\n

7)\u00a0\u00a0\u00a0 \u00a0RNRA License<\/strong>. \u00a0Subject\u00a0to this Agreement, RNRA policies, and to the extent permitted under all\u00a0applicable laws and regulations, RNRA grants you a\u00a0limited, non-exclusive, non-transferable, non-sublicenseable and revocable\u00a0license to access and use the Service for the purposes of viewing and\u00a0redeeming Merchants\u2019 offers (eligible\u00a0Users), configuring and promoting\u00a0Merchant offers (participating Merchants), viewing RNRA news and\u00a0events on the Service, and otherwise using the Service as authorized\u00a0hereunder.<\/p>\n

8)\u00a0\u00a0\u00a0 \u00a0Acceptable Use Policy<\/strong>.<\/p>\n

a)\u00a0\u00a0\u00a0 \u00a0Your Responsibilities. \u00a0In\u00a0registering for, accessing and using the Service, you understand and agree\u00a0that you are responsible for the following:<\/p>\n

i.\u00a0 \u00a0 \u00a0 Your compliance with this Agreement;<\/p>\n

ii.\u00a0 \u00a0\u00a0 Taking appropriate security measures to prevent the\u00a0unauthorized disclosure of your user passwords, login information, or\u00a0other credentials used to access your\u00a0account;<\/p>\n

iii.\u00a0 \u00a0 The\u00a0accuracy, quality, integrity, legality, reliability, and appropriateness\u00a0of the content you submit to the Service;<\/p>\n

iv. \u00a0\u00a0 Complying with applicable state, federal and international\u00a0laws, regulations, and ordinances with respect to your use of the Service;<\/p>\n

v. \u00a0\u00a0\u00a0 All activity that occurs under your account; and<\/p>\n

vi. \u00a0\u00a0 Procuring all necessary rights to use any third party software\u00a0(e.g., web browser), services (e.g., internet access)\u00a0or equipment that may be needed to use the Service.<\/p>\n

b)\u00a0\u00a0\u00a0 \u00a0Restrictions on Use<\/strong>.\u00a0 You\u00a0further agree not to:<\/p>\n

i. \u00a0\u00a0 \u00a0 Use any content or information available through the\u00a0Service for any unauthorized purpose;<\/p>\n

ii. \u00a0\u00a0\u00a0 Use the Service for any purpose in violation of local,\u00a0state, or national law;<\/p>\n

iii. \u00a0 Interfere\u00a0with or damage the Service including, without limitation, through the use\u00a0of viruses, spyware, malware, harmful code, flood pings, denial of\u00a0service attacks,\u00a0packet or IP spoofing, forged routing, or methods that in\u00a0any way reproduce or circumvent the navigational structure or\u00a0presentation of the Service or its contents;<\/p>\n

iv. \u00a0\u00a0 Collect, store, or distribute any information about any other\u00a0user other than in the course of the permitted use of the Service;<\/p>\n

v. \u00a0\u00a0\u00a0 Engage in spidering, \u201cscreen scraping,\u201d \u201cdatabase\u00a0scraping,\u201d harvesting of email addresses, wireless addresses or\u00a0other contact or personal information, or any other\u00a0automatic means\u00a0of obtaining lists of users or other information from or through the\u00a0Service;<\/p>\n

vi. \u00a0\u00a0 Impersonate any person, company, or entity;<\/p>\n

vii.\u00a0 Restrict or\u00a0inhibit any other user from using or enjoying the Service;<\/p>\n

viii. Intentionally or\u00a0unintentionally violate any applicable law or regulation;<\/p>\n

ix. \u00a0\u00a0 Send or otherwise transmit to or through the Service chain\u00a0letters, unsolicited messages, so-called \u201cspamming\u201d or\u00a0\u201cphishing\u201d messages, or messages marketing or\u00a0advertising goods and\u00a0services;<\/p>\n

x. \u00a0\u00a0\u00a0 Modify, sublicense, translate, sell, circumvent, reverse\u00a0engineer, decipher, decompile, or otherwise disassemble any portion of\u00a0the Service or any software used on or\u00a0for the Service; or<\/p>\n

xi. \u00a0\u00a0 Assist any third party in doing any of the foregoing.<\/p>\n

9. \u00a0\u00a0\u00a0 Posted Content<\/strong>.\u00a0 The Service\u00a0allows you to submit content about your company and Offer (collectively,\u00a0\u201cMerchant Content\u201d) for posting to or through the Service\u00a0including, without limitation, Merchant name, logo, photographs, messages,\u00a0offer descriptions, images, or any other information or audiovisual\u00a0material. The Service also allows you to post content on RNRA’s community forums (“Forum Content”). Forum Content and Merchant Content are referred to collectively as “Posted Content”. You are solely\u00a0responsible for Posted Content that you submit\u00a0to or through the Service.<\/p>\n

RNRA does\u00a0not monitor or approve Posted Content; however, RNRA may, in its sole\u00a0and unfettered discretion, edit, remove, or delete any of Posted Content.<\/p>\n

As a\u00a0condition of accessing and using the Service, you agree not to submit\u00a0content that:<\/p>\n

a)\u00a0\u00a0\u00a0 \u00a0is unlawful, threatening, abusive, libelous, defamatory,\u00a0slanderous, obscene, vulgar, pornographic, indecent, or would constitute\u00a0a criminal offense, give rise to civil\u00a0liability, or\u00a0otherwise violate any local, state, national, or international law or\u00a0regulation;<\/p>\n

b)\u00a0\u00a0\u00a0 \u00a0violates or infringes upon the rights of others\u00a0including, without limitation, privacy or publicity rights,\u00a0intellectual property rights including, without limitation,\u00a0copyright,\u00a0patent, trade secret, or trademark rights, or other rights,\u00a0without first obtaining permission from the owner or rights holder;<\/p>\n

c)\u00a0\u00a0\u00a0 \u00a0promotes malice or harm of any kind against any group or\u00a0individual;<\/p>\n

d)\u00a0\u00a0\u00a0 \u00a0solicits user passwords, financial information, or\u00a0personal identification for unlawful purposes;<\/p>\n

e)\u00a0\u00a0\u00a0 \u00a0contains a virus, spyware, malware, or harmful software;\u00a0or<\/p>\n

f)\u00a0\u00a0\u00a0 \u00a0 constitutes junk mail, unsolicited mass mail, or spam.<\/p>\n

The\u00a0foregoing is only a partial list of the kind of Posted Content, which is\u00a0prohibited on the Service. \u00a0RNRA reserves the right\u00a0to investigate and take appropriate action,\u00a0legal or otherwise, in\u00a0its sole discretion against anyone who violates this section\u00a0including, without limitation, removing the offending content from\u00a0the Service and\u00a0terminating the violator\u2019s Service access.<\/p>\n

10) \u00a0Content\u00a0License<\/strong>. \u00a0By posting or submitting Posted Content on the Service, you grant and warrant that you have the right to grant\u00a0(or have obtained all necessary\u00a0third-party permissions to grant) to RNRA\u00a0and its licensees, affiliates, successors, and assigns, a perpetual,\u00a0irrevocable, worldwide, non-exclusive, fully paid-up, royalty-free,\u00a0sublicense-able right and license (\u201cLicense\u201d) to use,\u00a0reproduce, adapt, modify, distribute, translate, publish, create\u00a0derivative works based on, perform, display and otherwise\u00a0exploit Posted Content anywhere in the world, in\u00a0whole or in part, in any media now known or hereafter developed, in\u00a0connection with the Service and RNRA\u2019s marketing\u00a0of the Service.<\/p>\n

You also\u00a0grant all other users of the Service a non-exclusive,\u00a0irrevocable, worldwide, royalty-free license to access, view, and\u00a0reproduce Posted Content for non-commercial, personal purposes as\u00a0permitted through the functionality of the Service. \u00a0These\u00a0rights are limited and non-sublicenseable.<\/p>\n

You hereby\u00a0waive, represent, and warrant (\u201cWaiver\u201d) that you have obtained the waiver\u00a0of any and all moral rights in Posted Content that you submit or\u00a0post on or through\u00a0the Service including, without limitation, rights of\u00a0attribution or integrity, and any similar rights in any jurisdiction\u00a0worldwide.<\/p>\n

You\u00a0represent and warrant that you have obtained all necessary consent and\u00a0authority from any individual whose likeness appears in any of Posted Content which you\u00a0post on or submit to the Service to: 1) post\u00a0and submit such content on or to the Service; and 2) permit RNRA and\u00a0its licensees, affiliates, and successors to use such\u00a0content in\u00a0accordance with the foregoing License.<\/p>\n

You further\u00a0represent and warrant that RNRA\u2019s exercise of any of its rights under the\u00a0license granted hereunder will neither violate nor infringe upon the\u00a0rights of others\u00a0including, without limitation, privacy, publicity or\u00a0intellectual property rights, and complies with all applicable laws and\u00a0regulations.<\/p>\n

11) \u00a0Proprietary\u00a0Rights<\/strong>. \u00a0The visual interfaces,\u00a0graphics, design, compilation, information, computer code, products,\u00a0software, services, and all other elements of the\u00a0Service (excluding\u00a0any licenses granted to RNRA hereunder by you or third parties)\u00a0(collectively, \u201cService Content\u201d) are protected by United States\u00a0copyright, trade dress,\u00a0patent, and trademark laws, international conventions,\u00a0and all other relevant intellectual property and proprietary rights,\u00a0and applicable laws. \u00a0Unless expressly authorized in\u00a0this\u00a0Agreement or in writing by RNRA, you agree not to sell, license,\u00a0modify, distribute, reproduce, publicly display or perform, publish, or\u00a0create derivative works from any\u00a0Service Content available on\u00a0the Service. \u00a0Reproducing, copying or distributing any\u00a0Service Content for any other purpose is strictly prohibited without\u00a0the express prior\u00a0written permission of RNRA. \u00a0You shall use the\u00a0Service Content only for purposes that are permitted by this Terms of\u00a0Service and any applicable laws and regulations. \u00a0Any\u00a0rights\u00a0not expressly granted herein are reserved.<\/p>\n

12) \u00a0Interactions\u00a0with Other Service Users<\/strong>. \u00a0You are\u00a0solely responsible for interactions with other Service users. \u00a0RNRA\u00a0shall not be responsible for any damage or harm\u00a0resulting from your\u00a0interactions with other Service users. \u00a0When interacting with other\u00a0users, you should exercise caution and common sense to protect your personal\u00a0safety\u00a0and property, just as you would when interacting with\u00a0other persons whom you don\u2019t know.<\/p>\n

You\u00a0understand that RNRA does not screen users. \u00a0RNRA makes no\u00a0representations or warranties as to user\u00a0conduct. \u00a0RNRA reserves the right, without obligation, to:\u00a01)\u00a0monitor all interactions between users; and 2) take any action in good\u00a0faith to restrict access to or the availability of any Posted Content\u00a0which RNRA considers prohibited.<\/p>\n

NEITHER RNRA\u00a0NOR ITS AFFILIATES OR LICENSORS IS RESPONSIBLE FOR THE CONDUCT, WHETHER\u00a0ONLINE OR OFFLINE, OF ANY USER OR MERCHANT\u00a0OR OTHER USER OF THE\u00a0SERVICE AND YOU HEREBY RELEASE RNRA AND ITS AFFILIATES OR LICENSORS\u00a0FROM ANY LIABILITY RELATED THERETO. RNRA\u00a0CANNOT AND DOES NOT CONTROL THE OFFERS\u00a0AND MERCHANT\u2019S WHO MAKE SUCH OFFERS AVAILABLE TO USERS, AND RNRA HEREBY\u00a0DISCLAIMS ANY\u00a0AND ALL LIABILITY RELATED TO ANY OFFERS AND\/OR FULFILLMENT ISSUES\u00a0ASSOCIATED WITH SUCH OFFERS. RNRA AND ITS AFFILIATES AND LICENSORS\u00a0WILL\u00a0NOT BE LIABLE FOR ANY CLAIM, INJURY OR DAMAGE ARISING IN CONNECTION\u00a0WITH YOUR USE OF THE SERVICE.<\/p>\n

13) \u00a0Links<\/strong>.\u00a0 The\u00a0Service contains links to other internet sites and resources, and you\u00a0acknowledge and agree that: 1) RNRA shall not be responsible for the\u00a0availability of\u00a0such external sites or resources; and 2) RNRA does not\u00a0endorse and is not responsible or liable for\u00a0any content, advertising, products, or other materials on or\u00a0available\u00a0from such services or resources. \u00a0You agree that RNRA\u00a0shall not be responsible or liable, directly or indirectly, for any\u00a0damage or loss caused or alleged to be caused by or\u00a0in connection with the\u00a0use of, or reliance upon, any such content, goods or services\u00a0available on or through any such Service or resource.<\/p>\n

14) \u00a0Disclaimer<\/strong>. \u00a0The\u00a0Service, including, but not limited to the Site and the App and the\u00a0entirety of its contents, is provided \u201cAS IS\u201d and RNRA hereby\u00a0disclaims (except\u00a0where prohibited by law) all express and\u00a0implied warranties including, but not limited to, warranties\u00a0of merchantability, title, non-infringement, and fitness for a\u00a0particular\u00a0purpose. \u00a0RNRA expressly disclaims any\u00a0representation that:<\/p>\n

a)\u00a0\u00a0\u00a0 \u00a0the Service will meet your requirements;<\/p>\n

b)\u00a0\u00a0\u00a0 \u00a0access to the Service will be uninterrupted, timely,\u00a0secure, or error-free;<\/p>\n

c)\u00a0\u00a0\u00a0 \u00a0any information obtained through or from the Service\u00a0will be accurate or reliable;<\/p>\n

d)\u00a0\u00a0\u00a0 \u00a0the quality of any products, services, information, or\u00a0other material obtained by you through the Service will meet expectations;<\/p>\n

e)\u00a0\u00a0\u00a0 \u00a0any user-provided information will not be disclosed, in the absence of user-provided approval, to third parties; or<\/p>\n

RNRA IS NOT\u00a0RESPONSIBLE AND SHALL HAVE NO LIABILITY FOR THE CONTENT, SERVICES, ACTIONS\u00a0OR INACTIONS OF ANY USER, PROPERTY MANAGER,\u00a0MERCHANT, OR OTHER THIRD\u00a0PARTY WHO USES OR INTERACTS WITH THE SERVICE. YOU ACKNOWLEDGE AND UNDERSTAND\u00a0THAT RNRA HAS NO\u00a0CONTROL OVER AND DOES NOT AND CANNOT GUARANTEE THE\u00a0QUALITY, SAFETY OR LEGALITY OF THE OFFER, THE TRUTH OR ACCURACY OF ANY OF POSTED CONTENT (INCLUDING OFFER DETAILS), OR THE ABILITY OF ANY\u00a0USER TO PERFORM, OR ACTUALLY COMPLETE A TRANSACTION. 15) \u00a0Limits\u00a0on Liability<\/strong>. \u00a0RNRA, \u00a0ITS\u00a0AFFILIATES, SUBSIDIARIES, OFFICERS, DIRECTORS, EXECUTIVE DIRECTOR, BOARD\u00a0MEMBERS, THIRD PARTY\u00a0CONTRACTORS, EMPLOYEES, AGENTS,\u00a0LICENSORS, SUCCESSORS, OR ASSIGNS (\u201cRNRA PARTIES\u201d) SHALL NOT BE\u00a0LIABLE UNDER ANY CIRCUMSTANCES\u00a0OR UNDER ANY LEGAL THEORY, WHETHER IN\u00a0TORT, CONTRACT, OR OTHERWISE WITH RESPECT TO THE SERVICE, FOR ANY\u00a0INDIRECT, INCIDENTAL,\u00a0SPECIAL, CONSEQUENTIAL, OR EXEMPLARY\u00a0DAMAGES ARISING FROM OR RELATING TO: 1) THE SERVICE\u2019S AVAILABILITY;\u00a02) THE ACTS, OMISSIONS, OR\u00a0CONDUCT OF ANY USERS, MERCHANT OR OTHER USER OR\u00a0THIRD PARTY, WHETHER ONLINE OR OFFLINE; 3) ANY SERVICE OR POSTED CONTENT; 4)\u00a0ANY GOODS OR SERVICES ACQUIRED AS A RESULT OF ANY\u00a0INFORMATION OBTAINED OR TRANSACTIONS ENTERED INTO THROUGH THE SERVICE;\u00a0OR 5)\u00a0ANY USE OF GOODS OR SERVICES MADE AVAILABLE ON ANY INTERNET RESOURCE\u00a0OR WEBPAGE LINKED THROUGH THE SERVICE, EVEN IF THE RNRA\u00a0PARTIES HAVE BEEN\u00a0ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.<\/p>\n

RNRA\u00a0PARTIES\u2019 AGGREGATE LIABILITY TO YOU IN ANY MATTER ARISING FROM OR RELATED\u00a0TO THE SERVICE OR THE AGREEMENT, SHALL NOT EXCEED\u00a0THE SUM OF EITHER\u00a0ONE HUNDRED DOLLARS ($100) OR THE TOTAL FEES PAID BY YOU TO RNRA\u00a0DURING THE SIX (6) MONTHS PRIOR TO THE TIME SUCH\u00a0CLAIM AROSE, WHICHEVER IS\u00a0GREATER.<\/p>\n

SOME STATES\u00a0OR JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR THE LIMITATION OF LIABILITY\u00a0FOR CONSEQUENTIAL OR INCIDENTAL DAMAGES. \u00a0IN\u00a0SUCH STATES\u00a0OR JURISDICTIONS, RNRA\u2019S LIABILITY IS LIMITED TO THE EXTENT\u00a0PERMITED BY LAW.<\/p>\n

16) \u00a0Release<\/strong>.\u00a0 IN\u00a0CONSIDERATION OF BEING PERMITTED TO ACCESS AND USE THE SERVICE, YOU HEREBY\u00a0AGREE TO RELEASE THE RNRA PARTIES FROM\u00a0ALL DAMAGES (WHETHER DIRECT,\u00a0INDIRECT, INCIDENTAL, CONSEQUENTIAL OR OTHERWISE), LOSSES, LIABILITIES,\u00a0COSTS AND EXPENSES OF EVERY KIND\u00a0AND NATURE, KNOWN AND UNKNOWN, ARISING\u00a0OUT OF OR IN ANY WAY RELATED TO DISPUTES BETWEEN YOU AND\u00a0THIRD PARTIES (INCLUDING OTHER\u00a0MERCHANTS OR USERS) IN CONNECTION WITH\u00a0THE SERVICE, YOUR ACCESS AND USE OF THE SERVICE, OR THE OFFERS.<\/p>\n

IN\u00a0CONNECTION WITH THE FOREGOING RELEASE, YOU HEREBY WAIVE CALIFORNIA CIVIL\u00a0CODE 1542 AND ANY OTHER APPLICABLE LAW OR STATUTE,\u00a0WHICH SAYS IN\u00a0SUBSTANCES:<\/p>\n

\u201cA GENERAL\u00a0RELEASE DOES NOT EXTEND TO CLAIMS THE CREDITOR DOES NOT KNOW OR SUSPECT TO\u00a0EXIST IN HIS FAVOR AT THE TIME OF EXECUTING\u00a0THE RELEASE, WHICH IF\u00a0KNOWN BY HIM MUST HAVE MATERIALLY AFFECTED HIS SETTLEMENT WITH THE\u00a0DEBTOR.\u201d<\/p>\n

17) \u00a0Indemnification<\/strong>.\u00a0 You\u00a0agree to indemnify and hold harmless the RNRA Parties from and against any\u00a0loss, liability, or expense, including reasonable attorneys\u2019 fees and\u00a0expenses and court costs, arising out of or related to: \u00a01) any\u00a0third-party claim against any RNRA Party alleging that Posted Content submitted to the Service infringes any\u00a0of the third party\u2019s\u00a0rights; 2) your\u00a0breach of any provision of this Agreement and\/or any representation or warranty identified herein; or 3) any cost or expense RNRA incurs in\u00a0enforcing this Section. \u00a0RNRA reserves the right to control the defense and settlement of any action or proceeding against any RNRA Party that you\u00a0are bound to defend\u00a0pursuant to the foregoing.<\/p>\n

18) \u00a0Termination<\/strong>. \u00a0RNRA,\u00a0in its sole and unfettered discretion and without prior notice, may limit\u00a0access to the Service for any reason including, without limitation, breach\u00a0of\u00a0contract. RNRA may immediately deactivate or delete a User account or\u00a0Merchant Account and all related information and files in such\u00a0account; and 2) bar any subsequent\u00a0access by a User or Merchant to\u00a0the Service or Posted Content. RNRA shall not be liable to Merchants or\u00a0other Users for any costs or damages of any kind for or\u00a0resulting from any termination of Service access. All provisions of this\u00a0Terms of Use that by their nature should survive termination of your\u00a0right to use the Service shall\u00a0survive (including, without limitation, all\u00a0limits on liability, releases, disclaimers of warranties,\u00a0indemnification obligations, and intellectual property protections and\u00a0licenses).<\/p>\n

19) \u00a0Discontinuance\u00a0of Service<\/strong>.\u00a0 RNRA reserves the right to\u00a0modify or discontinue, temporarily or permanently, any portion of the\u00a0Service without prior notice. \u00a0You agree\u00a0that RNRA\u00a0shall not be liable to you or to any third party for any modification\u00a0or discontinuance of any portion of the Service.<\/p>\n

20) \u00a0Take-Down\u00a0Requests, DMCA<\/strong>. \u00a0You may not post,\u00a0distribute, or reproduce in any way any copyrighted material, trademarks,\u00a0or proprietary information without obtaining\u00a0the prior written\u00a0consent of the owner. \u00a0If you believe that your work has been\u00a0copied and posted on the Service in any way that constitutes\u00a0copyright infringement, please\u00a0provide our Copyright Agent with the\u00a0following information:<\/p>\n

a)\u00a0\u00a0\u00a0 \u00a0an electronic or physical signature of the person\u00a0authorized to act on behalf of the owner of the copyright interest;<\/p>\n

b)\u00a0\u00a0\u00a0 \u00a0a description of the copyrighted work that you claim has\u00a0been infringed;<\/p>\n

c)\u00a0\u00a0\u00a0 \u00a0a description of where the material that you claim is\u00a0infringing is located on the Service (and such description must\u00a0be reasonably sufficient to enable RNRA to find the\u00a0alleged\u00a0infringing material, such as a url);<\/p>\n

21) \u00a0Miscellaneous<\/strong>.<\/p>\n

a)\u00a0\u00a0\u00a0 \u00a0Choice of Law; Jurisdiction. \u00a0This\u00a0Agreement will be governed by and construed under the laws of the United\u00a0States of America and, to the extent not inconsistent\u00a0therewith, the\u00a0laws of the State of Illinois without regard to conflicts-of-laws principles\u00a0that would require the application of any other law.<\/p>\n

b)\u00a0\u00a0\u00a0 \u00a0Arbitration<\/strong>. For\u00a0any claim (excluding claims for injunctive or other equitable\u00a0relief) arising out of the Agreement or the Service (including\u00a0whether the claims asserted\u00a0are arbitrable), shall be referred to arbitration,\u00a0except those claims that may be asserted in small claims court.\u00a0Arbitration shall be subject to the Federal Arbitration Act,\u00a0conducted by\u00a0the American Arbitration Association (AAA), and governed under AAA\u2019s\u00a0rules. Any arbitration proceeding shall be brought and conducted exclusively in\u00a0Chicago, Illinois. ANY CLAIMS BROUGHT BY YOU OR RNRA MUST BE BROUGHT IN\u00a0THE PARTIES\u2019 INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR\u00a0CLASS\u00a0MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING. THE\u00a0ARBITRATOR MAY NOT CONSOLIDATE MORE THAN ONE PARTY\u2019S CLAIMS,\u00a0MAY NOT\u00a0OTHERWISE PRESIDE OVER ANY FORM OF A REPRESENTATIVE OR CLASS\u00a0PROCEEDING, AND MAY NOT AWARD CLASS-WIDE RELIEF.<\/p>\n

The\u00a0arbitrator may award any individual relief or individual remedies that are\u00a0permitted by applicable law. Judgment on an arbitration award may\u00a0be entered by any court of\u00a0competent jurisdiction. The arbitration award\u00a0shall be confidential and final and binding upon the Parties without\u00a0appeal or review, except as permitted by Illinois law or\u00a0United States\u00a0federal law.<\/p>\n

If for any\u00a0reason a claim proceeds in court rather than in arbitration, the dispute\u00a0shall be exclusively brought in a court of competent jurisdiction located\u00a0in Cook County,\u00a0Illinois, and the Parties waive any right to a jury trial.\u00a0The Parties agree that, notwithstanding the above, either Party may\u00a0bring suit in court to enjoin infringement or other\u00a0misuse of intellectual\u00a0property rights. Subject to the arbitration provisions set\u00a0forth herein, the successful Party in any dispute will be entitled to\u00a0receive from the unsuccessful\u00a0Party all reasonable attorneys\u2019 fees,\u00a0costs, and disbursements.<\/p>\n

c)\u00a0\u00a0\u00a0 \u00a0Severability<\/strong>. \u00a0If\u00a0any provision \u2013 or portion of a provision \u2013 of this Agreement is held\u00a0invalid, unenforceable, or void, the remainder of the Agreement shall\u00a0remain\u00a0unaffected and shall continue in full force and effect.<\/p>\n

d)\u00a0\u00a0\u00a0 \u00a0Separability<\/strong>.\u00a0 This\u00a0Agreement does not and shall not be construed to create a partnership or\u00a0joint venture between the parties hereto.<\/p>\n

e)\u00a0\u00a0\u00a0 \u00a0Merger<\/strong>.\u00a0 This Agreement\u00a0is the entire agreement between the parties hereto, and replaces any and\u00a0all prior negotiations, representations, or agreements between the\u00a0parties, whether oral, electronic, or written, pertaining to the\u00a0managerial relationship outlined herein. \u00a0The parties\u00a0acknowledge that they have not relied on any promise,\u00a0representation, or\u00a0warranty, express or implied, not contained in this\u00a0Agreement. \u00a0No waiver or any breach of this Agreement shall be\u00a0construed as a continuing waiver or\u00a0consent to any subsequent breach\u00a0hereof.<\/p>\n
